1. OUR SERVICES
The Services are not intended for use where prohibited by law. Users accessing from other locations are responsible for local compliance. We comply with applicable Canadian privacy laws and relevant US privacy laws, use age controls, and use Stripe for payment processing.
2. INTELLECTUAL PROPERTY RIGHTS
We own or license all service content, marks, software, designs, and related assets. Subject to compliance with these terms, we grant a limited, revocable, non-exclusive license for personal and internal use only. Unauthorized copying, distribution, or exploitation is prohibited.
3. USER REPRESENTATIONS
By using the Services, you represent that your account information is accurate, your use is lawful, and you meet age/consent requirements. We may suspend or terminate accounts for false or incomplete information.
4. USER REGISTRATION
You may be required to register. You are responsible for account confidentiality and activity under your credentials.
5. PROHIBITED ACTIVITIES
You may not misuse, scrape, interfere with, exploit, automate, manipulate, or access Services unlawfully. You also may not defraud users, manipulate votes, impersonate others, conduct fraud, or use Services under minimum age restrictions.
6. USER GENERATED CONTRIBUTIONS
Contributions must be lawful, accurate, non-infringing, and non-harmful. You are responsible for your content. We may remove or edit content that violates these terms.
7. CONTRIBUTION LICENSE
By posting contributions, you grant us a broad, worldwide, royalty-free license to host, use, display, reproduce, and distribute your contributions in connection with operating and promoting the Services.
8. GUIDELINES FOR REVIEWS
Reviews must be genuine, lawful, and non-abusive. We may moderate, reject, or remove reviews at our discretion.
9. THIRD-PARTY WEBSITES AND CONTENT
The Services may link to third-party sites/content. We do not control third-party materials and are not responsible for them.
10. ADVERTISERS
Advertisers may display content in designated service areas. We provide placement only.
11. SERVICES MANAGEMENT
We may monitor for violations, take legal action, remove burdensome content, and manage service functionality to protect the platform.
12. PRIVACY POLICY

13. COPYRIGHT INFRINGEMENTS
If you believe your copyright is infringed, contact us promptly using the details below.
14. TERM AND TERMINATION
These terms remain in effect while you use the Services. We may suspend or terminate access for violations.
15. MODIFICATIONS AND INTERRUPTIONS
We may modify, suspend, or discontinue Services at any time. Availability is not guaranteed.
16. GOVERNING LAW
These Legal Terms are governed by the laws of Canada. Courts in Canada have exclusive jurisdiction.
17. DISPUTE RESOLUTION
Parties agree to attempt informal negotiations for 30 days before formal proceedings, with arbitration terms as specified in the legal text.
18. CORRECTIONS
Service information may include errors or omissions. We may correct content at any time.
19. DISCLAIMER
Services are provided "AS IS" and "AS AVAILABLE" without warranties to the fullest extent permitted by law.
20. LIMITATIONS OF LIABILITY
To the maximum extent permitted by law, liability is limited as detailed in these Legal Terms.
21. INDEMNIFICATION
You agree to indemnify and hold us harmless for claims arising from your use of Services or breach of these terms.
22. USER DATA
We maintain user data for service operations and backups. You are responsible for submitted data.
23. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
You consent to electronic records, notices, signatures, and communications related to Services.
24. CALIFORNIA USERS AND RESIDENTS
California users may contact the California Department of Consumer Affairs for unresolved complaints.
25. MISCELLANEOUS
These terms and posted policies constitute the full agreement. Invalid provisions are severable, and remaining terms stay in effect.
26. TC CREDITS
TC Credits are virtual currency with no real-world cash value and are non-refundable.
27. PLATFORM NOT EMPLOYER
ThoughtCloud HQ Inc. is not an employer or staffing agency and is not responsible for outcomes of user collaborations.
28. VAULT & IP
Idea timestamping does not replace formal legal intellectual property protection.
29. COMMUNITY FUND
1% of all Phase 3 funded projects is automatically directed to the Community Fund and is non-refundable.
30. SEED DATA
During beta, some demonstration content may be present and is not real user data.
